1. Agreement to these Terms
These Terms of Service (“Terms”) form an agreement between you and My Student Desk regarding your use of the website, web application, support services, and related features available through mystudentsdesk.com (collectively, the “Service”).
By creating an account, selecting an acceptance control, or using the Service, you agree to these Terms and acknowledge the Privacy Policy. If you do not agree, do not use the Service.
2. Eligibility
You must be legally capable of entering into these Terms. The Service is not directed to children under 13. If you are under the age of legal majority where you live, you may use the Service only with permission and supervision from a parent or legal guardian where required.
You may not use the Service if doing so would violate applicable law, sanctions, school policy, or another binding obligation.
3. Accounts and security
- You must provide accurate information and keep it reasonably current.
- You are responsible for maintaining the confidentiality of your credentials and for activity conducted through your account.
- You must promptly notify us if you suspect unauthorized access or misuse.
- You may not sell, transfer, share, or provide access to your account in a manner that compromises security or violates these Terms.
- We may require verification, password confirmation, or recent authentication before sensitive account actions.
4. Nature of the Service
My Student Desk provides tools for organizing academic information, including classes, assignments, notes, grades, schedules, goals, academic history, support requests, and related personal productivity information.
The Service does not guarantee academic performance, admission, graduation, employment, financial aid, or any particular result. Calculations, reminders, grade projections, and summaries may be incomplete or inaccurate. You are responsible for checking important information against official institutional records and requirements.
5. Your content and data
You retain ownership of content you create or upload, subject to rights held by others. You grant My Student Desk a limited, non-exclusive license to host, store, reproduce, process, transmit, and display your content only as reasonably necessary to operate, secure, maintain, and improve the Service and comply with law.
You represent that you have the rights and permissions needed to upload or use your content and that it does not violate law, privacy, confidentiality, intellectual-property rights, school rules, or these Terms.
You are responsible for maintaining independent copies of important academic records and files. The Service should not be your only copy of essential information.
6. Acceptable use
You may not:
- access or attempt to access another user's account or restricted systems without authorization;
- probe, scan, bypass, disable, or interfere with authentication, permissions, rate limits, security controls, or monitoring;
- upload malware, harmful code, unlawful content, or material designed to disrupt the Service;
- harass, threaten, impersonate, deceive, exploit, or infringe the rights of others;
- use automated methods to scrape, overload, copy, or extract information except where expressly permitted;
- reverse engineer or attempt to obtain source code except where applicable law expressly permits it;
- abuse support, notification, messaging, invitation, broadcast, or administrative features;
- use the Service to facilitate academic dishonesty, fraud, illegal activity, or violations of institutional policy; or
- encourage or assist another person in doing any prohibited act.
7. Third-party services and integrations
The Service may rely on or connect with third-party providers, including hosting, database, authentication, storage, email, calendar, and infrastructure services. Your use of third-party features may also be governed by those providers' terms and privacy policies.
We are not responsible for third-party services, their availability, or actions outside our reasonable control. You authorize the exchanges of information required when you choose to connect an integration.
8. Service communications
We may send transactional or service-related communications, including account verification, password reset, security, support, account-status, maintenance, policy, and feature notices. These communications are part of operating the Service and may not always be optional.
Any promotional communications will be handled according to applicable law and available preferences.
9. Availability, maintenance, and changes
We may modify, update, suspend, restrict, or discontinue any part of the Service. We do not guarantee that the Service will always be available, uninterrupted, secure, error-free, or compatible with every device or browser.
Maintenance, security incidents, provider outages, internet failures, legal requirements, and events outside our control may affect availability. We may impose reasonable usage limits to protect reliability and security.
10. Suspension and termination by us
We may investigate suspected violations and may limit, suspend, or terminate access where reasonably necessary to:
- protect users, staff, the Service, or third parties;
- respond to security threats, fraud, abuse, or unlawful activity;
- comply with legal obligations or valid process;
- address a material or repeated violation of these Terms; or
- prevent harm while an investigation is ongoing.
Where appropriate and legally permitted, we may provide notice or an opportunity to contact support.
11. Account closure and reactivation
- You may reactivate the account before the displayed deadline.
- Reactivation cancels the pending deletion schedule and restores active status.
- After the deadline, the account becomes eligible for permanent deletion.
- Once permanent deletion is completed, the account and deleted content cannot be restored.
- Limited records may remain where reasonably necessary for legal compliance, security, fraud prevention, dispute resolution, or protected backup rotation, as explained in the Privacy Policy.
12. My Student Desk intellectual property
The Service, software, interfaces, designs, branding, logos, text, graphics, documentation, and other materials provided by My Student Desk are owned by or licensed to us and are protected by intellectual-property laws.
Subject to these Terms, you receive a limited, personal, revocable, non-exclusive, non-transferable right to access and use the Service for its intended purpose. No other rights are granted.
13. Disclaimers
To the maximum extent permitted by law, the Service is provided “as is” and “as available.” We disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, and security, whether express, implied, or statutory.
My Student Desk is not responsible for decisions made based on unofficial grade calculations, reminders, schedules, academic projections, generated summaries, or user-entered information. Always consult official institutional sources for binding academic requirements and records.
Some jurisdictions do not allow certain warranty exclusions, so parts of this section may not apply to you.
14. Limitation of liability
To the maximum extent permitted by law, My Student Desk and its operators, contributors, service providers, and representatives will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of data, profits, opportunities, goodwill, or academic progress arising from or related to the Service.
To the maximum extent permitted by law, total liability for claims relating to the Service will not exceed the greater of the amount you paid to My Student Desk during the 12 months before the event giving rise to the claim or US $100.
Nothing in these Terms excludes liability that cannot lawfully be excluded or limited.
15. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless My Student Desk and its operators, contributors, and representatives from claims, losses, liabilities, damages, costs, and expenses arising from your content, unlawful conduct, misuse of the Service, or material violation of these Terms or another person's rights.
16. Governing law and disputes
These Terms are governed by the laws of the State of Maryland, United States, without regard to its conflict of laws principles.
Before filing a legal claim, you agree to contact My Student Desk and make a good-faith effort to resolve the issue informally. If a dispute cannot be resolved informally, it may be brought in a court of competent jurisdiction located in the State of Maryland, unless applicable law requires otherwise. Nothing in these Terms limits any rights or protections that cannot be waived under applicable law.
17. Changes to these Terms
We may update these Terms to reflect changes in the Service, law, security, or business practices. The “Last updated” date identifies the current version. When required, we will provide additional notice or request renewed acceptance for material changes.
Continued use after updated Terms become effective constitutes acceptance to the extent permitted by law.
18. General terms
- Entire agreement: These Terms and the Privacy Policy form the agreement concerning the Service, together with any feature-specific terms presented to you.
- Severability: If a provision is unenforceable, it will be limited or removed to the minimum extent necessary, and the remaining provisions will continue.
- No waiver: Failure to enforce a provision is not a waiver.
- Assignment: You may not assign these Terms without permission. We may assign them as part of a reorganization, financing, merger, acquisition, or sale of the Service or related assets.
- Headings: Headings are for convenience and do not limit the meaning of a provision.
